Bylaws of the AEA Wii Club

ARTICLE I: NAME

Section 1

This organization shall be known as the AEA Wii Club, an affiliate of the Aerospace Employees Association, a nonprofit organization.

ARTICLE II: OBJECT AND PURPOSE

Section 1

The AEA Wii Club (hereafter known as the "Club") is a hobby gaming club with the objective of providing a means for its members to procure a shared library of Wii game titles and to exchange information relating to the Wii platform. To these ends ancillary discussions, meetings, publications, events, game titles, and equipment shall be supported by the Club.

ARTICLE III: MEMBERSHIP

Section 1

The Bylaws of the AEA shall apply to Members of the Club.

Members (Category M)

(a) Category M1: Any individual employed by an organizational element of the General Offices, The Aerospace Corporation, El Segundo, California, automatically becomes a member of the AEA effective upon the date of employment.

(b) Category M2: Member status may be retained by those employees who, for reasons of age or service, are retired from The Aerospace Corporation.

Associate Members (Category A)

(a) Category A1: The spouse and/or children of any category M1 or M2 member.

(b) Category A2: Any military or civil service person working in the County of Los Angeles and permanently assigned to or attached to Space Division (SD) at LAAFB automatically becomes an Associate Member upon becoming a dues paying member of an officially recognized AEA club.

(c) Category A3 - All others. Includes ex-employees, retired Air Force or civil service, friends, relatives, outsiders from other companies, etc. Such persons may become A3 Associate Members by becoming dues paying members of an officially recognized AEA club.

Section 2

Dues will be $10.00 for Members and $15.00 for Associate Members per year on a fiscal year basis beginning October 1.

Section 3

No individual Member shall be entitled to any right or interest whatsoever in any property, real or personal, tangible or intangible, of the Club at any time.

Section 4

Willful failure to abide by the Club rules and Bylaws, or conduct detrimental to the Club or showing a disregard for the Club interests or property or for the safety or welfare of other members, shall be grounds for summary expulsion of any member by a majority vote of the officers.

Section 5

The AEA and the Club assume no liability for members while participating in Club sponsored or encouraged activities.

Section 6

The AEA and the Club assume no liability for members while using any of the Club's equipment. Members are aware that equipment owned by the Club may result in injury, damage, and other harm to both the user and to other personnel and property. Members who check out equipment do so at their own risk, and are responsible for using the equipment safely. Because the Club has no control over how equipment is used, the Club does not assume any responsibility for any harm resulting from proper or improper use of equipment.

Section 7

In the event that a Club member who has borrowed Club equipment or library material, loses or has stolen said item(s), said member shall have the responsibility for replacing the item(s). If the item(s) has depreciated, the Club Officers shall consider the original and current replacement value and the amount of depreciation that should be allowed. The member shall replace the item as soon as possible and the Club shall reimburse the member, after replacement, for any depreciated value, in as timely a manner as possible consistent with the Club's budget and procurement plans.

ARTICLE IV: OFFICERS

Section 1

The officers shall consist of a President, a Vice President, a Secretary and a Treasurer, all of whom shall be members of the Club.

Section 2

The President shall be the chief executive officer of the Club and shall have general supervision and control of the business affairs for the Club. He/she shall make a report to the members during the last quarter of the fiscal year. It shall concern activities of the Club during his/her term of office and his/her recommendations for the following year.

Section 3

The Vice President shall be responsible for establishing and maintaining the Club equipment and library along with appropriate records. He/she shall prepare an inventory of equipment belonging to the Club and note the location of each piece of equipment at the end of the fiscal year.

Section 4

The Secretary shall maintain a record of the actions taken by the Club and its officers at officially sanctioned meetings. He/she shall keep and maintain adequate and correct accounts of the properties and business transactions (other than monetary) of the Club. These duties shall include the preparation of the monthly newsletter and special announcements.

Section 5

The Treasurer shall receive and disburse funds at the direction of the President. He/she shall maintain a bank account, and shall render an annual accounting of funds at the end of each fiscal year and shall report on it at a general meeting.

Section 6

The officers shall be elected by a majority of the members voting in an annual election. The term of office shall be one year commencing on the start of each fiscal year, i.e., 1 October of one year through 30 September of the following year.

Section 7

A list of candidates shall be drafted by a Nominating Committee and sent to each member for consideration at least two weeks before election time.

Section 8

The election shall be decided by mail ballot. The names of the members duly nominated by the Nominating Committee shall be placed on the ballot and space shall be provided for the names of "write-in" candidates. The ballots shall be counted by the Tally Committee. In the event of a tie, the candidate receiving the highest number of votes from the Nominating Committee and the outgoing officers present in joint session shall be declared elected.

Section 9

Vacancies among the officers shall be filled by appointment by the President for the remainder of the year's term.

ARTICLE V: MEETINGS

Section 1

General meetings shall be held at intervals to be determined by the Club membership items of major interest to the general membership shall be reported by the officers or committee chairmen. Notice of general meetings shall be published in the Happenings or by other means at least one week in advance when possible.

Section 2

Special general meetings may be called by the President, or by him/her at the request of two other Club officers. The notice for a special general meeting shall state the purpose for which the meeting is called. No other business shall be discussed at such a special general meeting.

Section 3

The officers of the Club shall meet at the direction of the President or committee chairpersons as is deemed necessary to conduct committee business.

ARTICLE VI: GENERAL PROVISIONS

Section 1

The Club shall maintain adequate and correct records and accounts of the business and properties.

Section 2

All check drafts or other orders for payment of money to the AEA Wii Club or equivalent payee shall be endorsed by the Treasurer and deposited to the appropriate AEA Wii Club account. Checks or drafts on AEA Wii Club accounts shall be approved by the President or two (2) officers other than the Treasurer and signed by the Treasurer.

Section 3

Contracts or any instrument in the name of the Club and in behalf of the Club and binding the Club or pledging its credit to render it liable for any purpose or to any amounts shall be entered subject to any constraints imposed by AEA bylaws, only by approval and signature of all the Club officers.

ARTICLE VII: AMENDMENTS

Section 1

The Bylaws may only be amended by a vote of two-thirds of the members present at a regular general meeting.

Section 2

A meeting notice shall be given to the members indicating the proposed action to amend the Bylaws.
